Action Plan: European Company Law and Corporate Governance (Communication)

The Commission explains how it wants to reform European company law and the legal framework for corporate governance.

Once again, the Commission argues in favour of binding national requirements on governance reporting and its official monitoring, thereby undermining the Corporate Governance Code’s principle of “comply or explain” which is based on self-determination. The Commission’s call for “diversity” in supervisory bodies, whether of gender or nationality, is misconceived. Of sole importance are professional qualifications.
